Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") are a binding agreement between you and Noxdren, LLC ("Noxdren," "we," "us," or "our") governing your access to and use of our drone mission-feasibility API, RangeIQ+, and related products and websites (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Definitions

• Service: the Noxdren products, websites, and related services.
• API: the application programming interface through which the Service is accessed.
• Customer: the individual or entity that registers for or uses the Service ("you").
• Customer Data: the data and inputs you submit to the Service, including mission and flight parameters.
• Output: the results the Service returns, such as feasibility verdicts and range or battery predictions.

3. Eligibility & Accounts

You must be at least the age of majority in your jurisdiction and able to enter into a binding contract to use the Service. You agree to provide accurate, complete account information and to keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account, and you must notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Reverse engineer, decompile, or attempt to derive the source code or models of the Service;
• Abuse, overload, or interfere with the Service or its infrastructure, including through excessive or automated requests;
• Infringe the intellectual property or other rights of Noxdren or any third party; or
• Circumvent or attempt to circumvent any security, authentication, or rate-limiting measures.

5. The Service & API; Output Disclaimer

The Service provides decision-support estimates based on the inputs and models available to it. RangeIQ+ and Noxdren Outputs, including feasibility verdicts and range or battery predictions, are estimates derived from the data you provide and our models. They are NOT a guarantee of real-world flight outcomes and are NOT a substitute for the operator's own pre-flight checks, airworthiness assessment, situational judgment, and compliance with all applicable aviation laws and regulations.

The operator remains solely responsible for the safe and lawful operation of every flight. You must independently verify any Output before relying on it and must not treat the Service as authoritative for flight safety.

6. Beta Features & Changes

The Service is evolving. We may add, change, or remove features, and we may offer beta or pre-release features that are provided "as is," may be incomplete, and may change or be discontinued at any time. We will use reasonable efforts to communicate material changes that affect your use of the Service.

7. Fees & Billing

Paid plans are billed through Stripe according to the pricing and billing cycle in effect when you subscribe. Fees are exclusive of taxes, which you are responsible for unless otherwise stated. Subscriptions renew automatically for successive terms unless cancelled before the renewal date. Non-payment may result in suspension or termination of access. Except as required by law, fees are non-refundable.

8. Intellectual Property

The Service, including its software, models, documentation, and all related intellectual property, is owned by Noxdren and its licensors and is protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No rights are granted except as expressly set out here.

9. Customer Data

You retain ownership of the Customer Data you submit to the Service. You grant us a limited, worldwide, non-exclusive license to host, process, and use Customer Data as needed to operate, secure, and improve the Service. We do not train our models on Customer Data without your explicit, written consent. For more detail on how we handle data, see our Security page and our Privacy Policy.

10. Confidentiality

Each party may receive non-public information from the other that is marked or should reasonably be understood as confidential. The receiving party will use such information only to perform under these Terms and will protect it with at least the same care it uses for its own confidential information. This does not apply to information that is public, independently developed, or rightfully obtained from a third party.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOXDREN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. NOXDREN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO NOXDREN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Noxdren and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that poses a risk to us or others. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Kentucky, USA, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Kentucky, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
